Terms of Service
Effective Date: October 15th, 2025
These Terms of Service ("Terms") govern access to and use of the Operon.Cloud services, platform, and website provided by Operon, LLC ("we", "our", or "us"). By using the platform, you agree to these Terms.
1. Description of Services
Operon.Cloud provides a cloud-based trust and interoperability platform for healthcare organizations. Key platform features include:
- Blockchain-backed audit trails
- Real-time fraud detection and security analytics
- Interoperability middleware layer
- Consent enforcement and micropayments engine
- Secure metadata tracking with optional vaulting
2. Eligibility & Access
You must be at least 18 years old and authorized to act on behalf of your organization. You agree to:
- Provide accurate account information
- Keep login credentials secure
- Use the services in accordance with applicable laws and contracts
3. Customer Responsibilities
- Configure integrations appropriately and securely
- Ensure upstream data compliance with HIPAA and other applicable regulations
- Respond to audit requests and maintain data ownership where applicable
4. Use Restrictions
Users shall not:
- Reverse-engineer or exploit the platform
- Attempt unauthorized access to systems or data
- Transmit malware or disruptive code
- Use the platform for unlawful or discriminatory purposes
5. Fees and Payment Terms
Fees for enterprise features, micropayments, and tokenized services are governed by the applicable Order Form or Master Services Agreement. Refund terms are also covered in those agreements.
6. Intellectual Property
All platform software, branding, processes, and analytics are the intellectual property of Operon, LLC. Customer data and transaction metadata remain the property of the customer.
7. Service Availability
We strive for 99.9% uptime with routine maintenance windows. We do not guarantee uninterrupted availability and disclaim liability for outages due to force majeure or third-party failures.
8. Termination
We may suspend or terminate services with notice for:
- Violation of Terms
- Security risk or suspected misuse
- Failure to pay fees
You may terminate by providing 30 days' written notice subject to contractual obligations.
9. Subprocessors
We use subprocessors such as Google Cloud and Hedera. By using our services, you authorize data processing by these providers under standard security practices.
10. Limitation of Liability
To the fullest extent allowed by law, Operon.Cloud disclaims liability for indirect, incidental, or consequential damages. Our total liability in any case is limited to amounts paid in the previous 12 months.
11. Governing Law
These Terms shall be governed by the laws of the State of Wyoming. Disputes may be resolved through arbitration or court processes as mutually agreed in writing.
12. Amendments
We reserve the right to update these Terms with reasonable prior notice. Continued use of the platform after changes constitutes acceptance.
